Terms of Service and End User License Agreement

These Terms of Service and End User License Agreement (collectively, the "Agreement") are entered into between Yuzang Network Technology Co., Ltd and you (collectively, "Yuzang Network Technology Co., Ltd," "we," or "us"). Yuzang Network Technology Co., Ltd is a company operating under the name Yuzang Network Technology Co., Ltd (or conducting business as such), and this Agreement is entered into by and between you (collectively, "you," "yourself," "user," or "customer"). This Agreement sets forth the terms and conditions governing your use of all Yuzang Network Technology Co., Ltd products and services (collectively, the "Services"). Within the scope of such Services, this Agreement covers (i) your service plan; and (ii) any additional services from supplementary service plans you order, as set forth in our services and pricing pages. By accessing, using, registering for, or receiving any Services, you agree to the following terms and conditions, as well as those in our Privacy Policy (collectively, the "Policies"), which are incorporated into this Agreement by reference. Certain Services you purchase may be subject to additional terms. In such cases, those additional terms also apply to this Agreement.

If you do not accept and agree to these terms and conditions and our Policies, you may not access or use the Services.

Yuzang Network Technology Co., Ltd may modify this Agreement from time to time to reflect changes in applicable laws or requirements, or modifications or updates to the Services. If such changes materially affect your rights under this Agreement, Yuzang Network Technology Co., Ltd will notify you. Unless required by law or necessary for security reasons requiring immediate effect, changes will not apply retroactively, and reasonable notice will be provided before the modified terms take effect. If you do not agree to be bound by this Agreement, our Policies, or any subsequent modifications, you must stop using the Services (see Cancellation and Termination).

Applicable Law and Arbitration for U.S. Users

For users in the United States and California, this includes any disputes arising from this Agreement or your use of the Services. The United Nations Convention on Contracts for the International Sale of Goods and other similar laws, regulations, or rules effective in any other jurisdiction do not apply to this Agreement.

Applicable Law and Jurisdiction for Non-U.S. Users

For users outside the United States, this Agreement and any non-contractual obligations arising from or related to it are governed by and construed in accordance with the laws of England and Wales, subject only to the mandatory provisions of consumer law in your country of residence. The United Nations Convention on Contracts for the International Sale of Goods and other similar laws, regulations, or rules effective in any other jurisdiction do not apply to this Agreement.

You and Yuzang Network Technology Co., Ltd irrevocably agree that the courts of your country/region have non-exclusive jurisdiction over any dispute or claim (including non-contractual disputes or claims) arising from or related to this Agreement (including your use of the Services) or its subject matter or formation. Alternatively, you may submit disputes to an alternative dispute resolution body in your jurisdiction through the European Commission's Online Dispute Resolution platform (ODR), if you are located in the EU and the UK is still a member of the EU at the time the dispute arises, or participates in any transitional arrangements or any new trade agreements.

Eligibility

The Services are only available to users who are at least 13 years old (or the age of majority in your country, if higher than 13). If you are under 13 (or the age of majority in your country, if higher than 13) and register for or use the Services, we do not agree to provide you with the Services, and you must cancel your account and stop using the Services. By registering for and/or using the Services, you represent and warrant that you are at least thirteen (13) years old (or over 13 if that is the age of majority in your country).

If you register for and use the Services on behalf of another party, entity, or organization, you represent and warrant that you have the authority to bind that party, entity, or organization to this Agreement, and have the authority to handle all matters related to the Services and this Agreement on behalf of that party, entity, or organization.

License and Services

Scope of Use License: Yuzang Network Technology Co., Ltd grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited, and revocable license to install and use the Yuzang Network Technology Co., Ltd software only on the number of devices for which you have paid the applicable fees and taxes, and only during the term of your service plan. Each subscription entitles you to install and use the Yuzang Network Technology Co., Ltd software to protect one device. You may transfer your license from one device to another by contacting us. If you wish to use the Services on multiple devices, you must obtain a separate license for each device, or obtain a multi-device license by purchasing additional licenses or license packs. This license allows you to use the Yuzang Network Technology Co., Ltd software solely for the purpose of using the Services. We retain all other rights to the Yuzang Network Technology Co., Ltd software. Your license to use the Yuzang Network Technology Co., Ltd software is subject to the terms of this Agreement. If you do not agree to these license terms, you must cancel your account and stop using the Services.

Service Access Restrictions: You may only access the Services through interfaces and protocols provided or authorized by Yuzang Network Technology Co., Ltd. You agree not to access the Services through unauthorized means, such as unauthorized software clients.

Redistribution: Unless you have entered into a separate resale agreement with Yuzang Network Technology Co., Ltd or another agreement explicitly authorizing you to engage in such activities, you may not redistribute the Services or provide others with access to or use of the Services. You may contact Yuzang Network Technology Co., Ltd to request permission for business or reseller use and distribution of Yuzang Network Technology Co., Ltd software.

Modifications and Updates to Services: Yuzang Network Technology Co., Ltd may change the Services and any of their aspects or features from time to time based on security or legal grounds to ensure the operability of the Services, reflect technological advancements, or enhance the functionality we can offer to customers. You agree to automatically update the Services installed on your computer.

Cancellation, Termination, and Refunds

You may cancel any Service at any time during the term, including in the event of changes to the Services or this Agreement that you do not agree with. You can manage your billing preferences through the "My Services" option in the control panel. Alternatively, if you need assistance, you may also contact us through our Help Center.

Intellectual Property

All trademarks, service marks, or similar items related to the Services are owned by their respective owners, including but not limited to Yuzang Network Technology Co., Ltd. All intellectual property rights related to the Services remain with Yuzang Network Technology Co., Ltd and its licensors. You agree not to take any action that would infringe, limit, or interfere with the intellectual property rights of Yuzang Network Technology Co., Ltd or its licensors.

Disclaimer and Indemnification

You acknowledge and agree that your use of the Services is entirely at your own risk. You further acknowledge and agree that Yuzang Network Technology Co., Ltd does not control and is not responsible for the content of information transmitted through network hubs, access points, or the internet, unless such information is transmitted through equipment controlled by Yuzang Network Technology Co., Ltd.

You agree to indemnify, defend, and hold harmless (i) Yuzang Network Technology Co., Ltd, our officers, directors, employees, agents, licensors, suppliers, and (ii) any third-party vendors providing information or services, and their respective officers, directors, employees, agents, subcontractors, affiliates, and contractors (collectively, the "Indemnified Parties") from and against all losses, expenses, damages, and costs (including reasonable attorneys' fees) arising from your breach of these terms and conditions (including this Agreement and our Policies) or your violation of any applicable laws, regulations, or rules. If any Indemnified Party faces a claim for which indemnification is sought from you, that Indemnified Party has the right to assume the defense and control of such claim at your expense, and in no event may you settle any claim without the prior written consent of the Indemnified Party.

Entire Agreement

This Agreement constitutes the entire agreement between Yuzang Network Technology Co., Ltd and you regarding the Services and supersedes all prior agreements between you and Yuzang Network Technology Co., Ltd regarding the subject matter of this Agreement. Unless expressly stated otherwise, any items or services provided by Yuzang Network Technology Co., Ltd for the further provision of Services are subject to this Agreement. In the event of any conflict between this Agreement and other documents, the terms of this Agreement shall prevail. Any references in the singular or plural, and in the masculine, feminine, or neuter gender, shall be interchangeable according to the context of the sentence.

Severability

This Agreement shall be enforced to the maximum extent permitted by applicable law. If any provision of this Agreement is held to be invalid or unenforceable for any reason under applicable law, (i) such provision shall be interpreted, construed, or modified to the extent reasonably necessary to make it valid, enforceable, and consistent with the original intent of such provision; (ii) the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the other provisions of this Agreement, and all such provisions shall remain in full force and effect.
